These Terms of Service ("Terms") govern your access to and use of the ShareOfAsk platform and related services (the "Service") operated by 10 Seats Agency – Marcin Pastuszek ("we," "us," or "our"). ShareOfAsk is an AI Brand Intelligence platform that monitors how artificial intelligence models recommend, rank, and describe brands.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration, keep your login credentials confidential, and promptly notify us of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

4. Description of the Service

ShareOfAsk provides AI brand intelligence tools, including but not limited to:

• AI Visibility Score — tracking how AI models recommend your brand relative to competitors.
• Position Rankings — monitoring your brand's recommendation position across AI models over time.
• Share of Voice — measuring the proportion of brand mentions in AI-generated responses.
• Competitor Replacement Risk — identifying which competitors AI models recommend instead of your brand.
• Question Coverage — analyzing which user questions trigger mentions of your brand.
• Scheduled Snapshots — automating periodic data collection from AI models.
• Brand Perception Analysis — understanding how AI models describe your brand's attributes and sentiment.

The Service queries publicly available AI models (such as ChatGPT, Claude, Gemini, Perplexity, Mistral, and Grok) and aggregates the results into dashboards and reports. We do not control the outputs of third-party AI models and cannot guarantee their accuracy.

5. Subscription Plans and Payment

5.1 Plans
‍The Service may be offered under free and paid subscription plans. Details of available plans, features, and pricing are published on our website and may be updated from time to time.

5.2 Billing
‍Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Payment is processed by Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your payment method on file for the applicable fees.

5.3 Price Changes
‍We may change subscription fees upon at least 30 days' prior notice. Price changes will apply at the start of your next billing cycle following the notice period.

5.4 Refunds
‍Payments are non-refundable except where required by applicable law. If you cancel a paid subscription, you will retain access to the paid features until the end of your current billing period.

6. Free Trials

We may offer free trials of paid plans. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. We will notify you before the trial expires.

7. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your account will revert to the free plan (if available) or be deactivated.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts, bots, or scrapers to access the Service beyond the functionality we provide.
• Resell, sublicense, or redistribute the Service or any data obtained through it without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Misrepresent your identity or affiliation with any person or entity.
• Use the Service to harm, harass, or infringe upon the rights of others.

We reserve the right to suspend or terminate your account if you violate these Terms.

9. Intellectual Property

9.1 Our Rights
‍The Service, including its design, features, code, branding, documentation, and all related intellectual property, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

9.2 Your Data
‍You retain all rights to the data you input into the Service (such as brand names, competitor lists, and tracked questions). By using the Service, you grant us a limited, non-exclusive license to process this data solely to provide and improve the Service.

9.3 Generated Reports
‍Reports, dashboards, and analytics generated by the Service based on your data are provided for your internal business use. You may share these reports with third parties (such as clients or stakeholders) but may not resell them as a standalone data product.

10. Third-Party AI Models

The Service relies on third-party AI models to generate brand visibility data. We do not own, operate, or control these models. Accordingly:

• We are not responsible for the accuracy, completeness, or reliability of AI model outputs.
• AI model availability, behavior, and response format may change without notice, which may temporarily affect the Service.
• AI-generated data provided by the Service is for informational purposes only and should not be relied upon as the sole basis for business decisions.

11. Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
• Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).

13. Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Poland. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts in Gorzów Wielkopolski, Poland.

If you are a consumer residing in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory consumer rights under applicable EU law.

For online dispute resolution, EU consumers may use the European Commission's ODR platform at https://ec.europa.eu/consumers/odr.

15. Termination

We may suspend or terminate your account at any time if you breach these Terms, engage in conduct that we determine to be harmful to the Service or other users, or fail to pay applicable subscription fees. Upon termination, your right to use the Service ceases immediately. Sections 9, 12, 13, 14, and 16 shall survive termination.

16. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Notices. We may send you notices via email to the address associated with your account. Notices to us should be sent to marcin@10seats.agency.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
